General Terms and Conditions

§ 1 Scope

These General Terms and Conditions (GTC) apply to all contracts between TOGET (sole proprietorship, owner Tessa Hövel, Königsallee 14, 40212 Düsseldorf) and the users of the platform www.toget.de – both for clients (customers) and for brand ambassadors, hostesses, models and other brand ambassadors (freelancers).

Deviating terms of the contractual partner will not be recognized unless TOGET expressly agrees to their validity in writing.

§ 2 Subject Matter

TOGET places qualified brand ambassadors (including hostesses, models, promoters, moderators, service staff) with companies for trade shows, events, campaigns and comparable assignments. Placement is carried out via the platform www.toget.de and through personal consultation.

TOGET acts as an intermediary between clients and freelancers. The service or work contract is concluded between the client and the freelancer; TOGET is not a contractual partner of the respective service provision.

§ 3 Registration and User Account

Use of the platform requires registration. The user provides truthful and complete information and updates it when changes occur. Registration is completed by accepting these GTC and the privacy policy.

Freelancers must create a complete profile with photos, activities and deployment regions. TOGET reviews profiles and may refuse or revoke activation if quality or trust criteria are not met.

The user is responsible for keeping their access credentials confidential and is liable for all actions taken under their account.

§ 4 Contract Conclusion and Project Execution

The client creates a project request with event data, requirements and remuneration. TOGET suggests suitable freelancers and coordinates the assignment. The contract between client and freelancer is concluded through acceptance of the assignment by the freelancer and confirmation by the client.

Changes to deployment times, location or remuneration require written agreement of all parties involved. Cancellations are governed by § 6.

The freelancer provides the agreed services independently and on their own responsibility. They are responsible for compliance with dress code, punctuality and quality of deployment.

§ 5 Remuneration and Payment

Remuneration is defined in the project and may be agreed as hourly, daily or flat-rate fees. Travel costs, accommodation and meals are regulated separately unless included in the offer.

The client pays the agreed sum to TOGET. Payment is made via advance payment and balance according to invoice. TOGET forwards the remuneration to the freelancer after deduction of the platform fee and after confirmation of the assignment.

All prices are exclusive of statutory VAT, unless the freelancer operates as a small business owner.

§ 6 Cancellation and Withdrawal

Cancellations by the client must be made in writing. Depending on the lead time, cancellation fees may apply. Details are regulated in the respective project or offer.

If the freelancer cancels a confirmed assignment without valid reason, TOGET may claim damages and exclude the freelancer from the platform.

TOGET reserves the right to cancel or postpone projects in cases of force majeure, unforeseen events or serious violations.

§ 7 Liability

TOGET is liable without limitation for intent and gross negligence as well as for damages resulting from injury to life, body or health. In cases of slight negligence, TOGET is only liable for breach of essential contractual obligations and only up to the amount of foreseeable, typically occurring damage.

Liability for indirect damages, lost profits and consequential damages is excluded unless mandatory liability applies. Liability under the Product Liability Act remains unaffected.

§ 8 Data Protection

The processing of personal data is carried out in accordance with the privacy policy at /datenschutz. By registering and using the platform, users agree to the privacy policy.

§ 9 Final Provisions

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction for all disputes is Düsseldorf, provided the user is a merchant, legal entity under public law or a special fund under public law.

Should individual provisions be invalid, the validity of the remaining provisions shall remain unaffected.

TOGET is entitled to amend these GTC. Users will be notified of changes, which are deemed accepted if the user continues to use the platform after notification or does not object within 14 days.
